By accessing our website, creating an account, purchasing a subscription, connecting any third-party platform, clicking on any acceptance button, or otherwise using our Services, you agree to be bound by these Terms. If you do not agree with these Terms, you must not access or use the Services.


If you are using the Services on behalf of a company, partnership, LLP, proprietorship, startup, NGO, or any other legal entity, you represent and warrant that you are authorized to bind that entity to these Terms. In such case, the words “you” and “your” will refer to both you and that entity.


1. Definitions


For the purposes of these Terms:


  • “Website” means the official website of PathBot AI and all associated pages, dashboards, forms, and digital interfaces.

  • “Services” means all products, subscriptions, software tools, AI features, automation workflows, messaging utilities, integrations, support, content, and functionalities provided by PathBot AI.

  • “User” means any person or entity that visits the Website or uses the Services.

  • “Account” means the registered login or profile created to access the Services.

  • “User Content” means any data, contact information, documents, text, media, templates, campaign content, prompts, chatbot flows, or other material submitted, uploaded, synced, stored, or transmitted by you through the Services.

  • “Third-Party Platforms” means any external service, system, or provider connected to or used with the Services, including but not limited to WhatsApp, Meta products, payment gateways, CRMs, cloud providers, analytics tools, and telecom/internet providers.


2. Eligibility


You may use the Services only if:


1. you are at least 18 years of age;

2. you are legally capable of entering into a binding contract;

3. you are not prohibited by applicable law from using the Services; and

4. all information provided by you is true, complete, and up to date.


We reserve the right to refuse access, suspend onboarding, or terminate Accounts that do not meet these requirements.


3. Scope of Services


PathBot AI is an AI-powered WhatsApp automation tool designed to help businesses automate communication, manage conversations, improve response workflows, and support customer engagement.


The Services may include, without limitation:


  • chatbot or automated response flows;

  • AI-generated reply suggestions;

  • lead capture and customer engagement workflows;

  • messaging automations;

  • campaign or template assistance;

  • user dashboards and reports;

  • integrations with third-party platforms; and

  • support, onboarding, setup, and feature updates.


We may improve, modify, replace, suspend, or discontinue any feature, functionality, integration, plan, or part of the Services at any time, with or without prior notice, where reasonably necessary for business, legal, technical, or security reasons.


4. Account Registration and Security


To use certain Services, you may be required to create an Account.


You agree to:


  • provide accurate, current, and complete registration information;

  • keep your login credentials confidential;

  • be fully responsible for all activity conducted through your Account;

  • immediately notify us of any unauthorized access, misuse, or security breach; and

  • ensure that your use of the Account complies with these Terms.


We are not liable for any loss or damage arising from your failure to protect your Account credentials or maintain proper access controls.


5. Business Use and Authority


If you use PathBot AI for business purposes or on behalf of clients, you are solely responsible for:


  • obtaining all approvals and permissions required to use customer or lead data;

  • ensuring your staff, agents, employees, contractors, and sub-users comply with these Terms;

  • reviewing all automation logic and AI outputs before relying on them in live operations; and

  • managing access permissions within your organization.


You remain fully responsible for all actions taken by anyone using the Services through your Account or under your authority.


6. Third-Party Platforms and Integrations


Certain features of PathBot AI may depend on or connect with Third-Party Platforms. Your use of those features may require separate approvals, accounts, policies, technical compatibility, fees, and compliance obligations imposed by those third parties.


You understand and agree that:


  • Third-Party Platforms may change their APIs, rules, pricing, approvals, limitations, or service availability at any time;

  • your use of such Third-Party Platforms is subject to their own terms and policies;

  • we do not control and are not responsible for the acts, omissions, restrictions, outages, rejections, or suspensions imposed by any Third-Party Platform;

  • some features may stop working, become limited, or require reconfiguration if a Third-Party Platform changes its systems or policies; and

  • we may suspend or restrict features that, in our judgment, create legal, policy, operational, or security risk.


Unless expressly stated otherwise in writing, PathBot AI is an independent service and is not owned, operated, endorsed, or guaranteed by WhatsApp or Meta.


7. Acceptable Use


You agree to use the Services only for lawful, legitimate, and authorized purposes.


You must not use PathBot AI to:


  • end spam, unsolicited, deceptive, or abusive messages;

  • harass, threaten, defame, stalk, or impersonate any person or entity;

  • distribute malware, harmful code, phishing links, or fraudulent content;

  • promote or conduct unlawful schemes, scams, or misleading offers;

  • violate privacy, publicity, confidentiality, or intellectual property rights;

  • process or transmit data without appropriate authorization;

  • attempt unauthorized access to our systems or other users’ accounts;

  • interfere with the operation, integrity, or security of the Services;

  • reverse engineer, copy, resell, sublicense, or commercially exploit the Services except as expressly permitted by us in writing;

  • use the Services in connection with illegal goods, unlawful services, or prohibited business models; or

  • use the Services in any way that could expose us, our users, or our partners to legal, regulatory, reputational, or technical harm.


We may determine, in our sole but reasonable discretion, whether particular conduct violates this section.


8. Messaging Compliance and User Responsibility


You are solely responsible for all messages, automations, campaigns, content, contact lists, recipient targeting, prompts, data inputs, and outputs used through the Services.


You represent and warrant that you will:


  • obtain all legally required notices, permissions, opt-ins, and consents before sending communications;

  • maintain records of permissions where required by applicable law or platform policy;

  • ensure that message content is accurate, lawful, and not misleading;

  • comply with all applicable laws, regulations, industry codes, and platform requirements;

  • respect recipient preferences, opt-outs, and communication restrictions; and

  • not use PathBot AI for unlawful mass messaging or unauthorized promotional communication.


PathBot AI only provides tools and automation capabilities. We do not create your legal basis for messaging your contacts, and we do not assume responsibility for whether your communications are lawful, authorized, or compliant.


9. AI Features and Automated Output


Some parts of the Services may use artificial intelligence, machine learning, automation logic, or rule-based decision systems.


By using AI-enabled features, you acknowledge and agree that:


  • AI-generated outputs may be incomplete, inaccurate, outdated, inappropriate, or unsuitable for your intended use;

  • automated replies and recommendations should be reviewed before being relied upon in customer-facing, legal, financial, medical, compliance, or sensitive communications;

  • you are solely responsible for reviewing, approving, editing, and sending final communications;

  • we do not guarantee the correctness, originality, legality, safety, or performance of any AI-generated content; and

  • AI outputs are provided as a tool for assistance only and not as professional advice.


You must not rely solely on automated outputs where human review is reasonably necessary.


10. User Content and Data Ownership


As between you and PathBot AI, you retain ownership of your User Content.


However, by using the Services, you grant us a non-exclusive, limited, revocable, worldwide, royalty-free right to host, use, copy, process, transmit, display, store, backup, and otherwise handle your User Content solely to the extent necessary to:


  • provide and operate the Services;

  • enable requested automations and integrations;

  • maintain security, logs, and backups;

  • troubleshoot issues and provide support;

  • enforce these Terms; and

  • comply with applicable law, legal process, or regulatory requirements.


You represent and warrant that:


  • you own or have sufficient rights to use and submit all User Content;

  • your User Content does not infringe any third-party rights; and

  • our use of your User Content as permitted under these Terms will not violate any law or any third-party obligation owed by you.


11. Privacy and Data Handling


Your use of the Services is also subject to our Privacy Policy.


You acknowledge and agree that:


  • we may process account information, usage logs, technical data, communication records, and service-related data to operate and improve the Services;

  • we may use trusted service providers, hosting partners, security vendors, analytics tools, and payment processors in connection with service delivery;

  • you are responsible for ensuring that your collection and use of personal data through the Services is lawful; and

  • we may retain certain records, logs, or transactional data for security, audit, fraud prevention, backup, dispute handling, and compliance purposes.


Where personal data is involved, each party shall comply with applicable privacy and data protection requirements relevant to its role and responsibilities.


12. Subscription Plans, Fees, and Billing


PathBot AI may be offered on a paid subscription basis.


A plan may be offered at ₹1,334 per month, billed yearly at ₹16,000, unless a different price, offer, package, or billing structure is stated on the Website, checkout page, invoice, proposal, or order form applicable to you.


You agree that:


1. all fees are payable in advance unless otherwise agreed in writing;

2. applicable taxes, duties, levies, or government charges may be charged in addition to the listed fees unless expressly stated otherwise;

3. your subscription may renew automatically if auto-renewal is enabled or agreed to during purchase;

4. you authorize us or our payment processor to charge the applicable subscription fee using your selected payment method;

5. failure of payment may result in suspension, downgrade, delayed activation, or termination of access; and

6. we may revise pricing, plan features, quotas, or billing terms prospectively, with such changes generally applying from the next renewal cycle unless otherwise stated.


Any promotional pricing, discounts, or special offers may be subject to separate conditions and may expire or be withdrawn at our discretion.


13. Cancellation, Refunds, and Chargebacks


You may cancel your subscription before the next billing cycle to prevent future renewal charges.


Unless otherwise expressly stated in writing:


  • fees already paid are non-refundable once a billing cycle has started;

  • partial use or non-use of the Services does not entitle you to a refund;

  • onboarding, setup, implementation, consultation, training, or custom work fees, if any, are non-refundable;

  • if a payment is reversed, disputed, or charged back, we may suspend your access pending resolution; and

  • we reserve the right to recover unpaid amounts, chargeback costs, and collection-related expenses to the extent permitted by law.


If we permanently discontinue a paid Service or plan without cause attributable to you, we may offer a proportionate credit, migration option, or refund, as we reasonably determine.


Nothing in this section limits any non-waivable rights you may have under applicable law.


14. Free Trials, Beta Features, and Promotional Access


If we provide a trial, demo, beta feature, sandbox, or promotional access:


  • it is provided on an “as is” and “as available” basis;

  • it may be modified, limited, or withdrawn at any time;

  • additional terms may apply; and

  • we may disable access at the end of the trial or promotional period unless converted into a paid plan.


Beta or experimental features may contain bugs, limitations, or incomplete functionality.


15. Intellectual Property Rights


All rights, title, and interest in and to the Website and Services, including all software, workflows, designs, branding, text, graphics, logos, UI elements, know-how, documentation, and proprietary technology, are and shall remain the exclusive property of PathBot AI, Path Idea InfoTech, or our licensors.


These Terms do not transfer any ownership rights to you.


Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes during the active subscription period.


You must not:


  • copy, reproduce, modify, distribute, publish, or create derivative works from the Services;

  • remove proprietary notices;

  • reverse engineer or attempt to discover source code, except to the extent such restriction is prohibited by law; or

  • use our name, logo, branding, or materials without prior written permission.


16. Feedback


If you provide us with suggestions, recommendations, ideas, comments, or feedback regarding the Services, you agree that we may use, adapt, disclose, and implement such feedback without restriction or obligation to compensate you.


17. Service Availability and Support


We aim to provide reliable Services, but we do not guarantee uninterrupted or error-free operation.


You acknowledge that:


  • the Services may occasionally be unavailable due to maintenance, updates, security incidents, failures, internet issues, telecom disruptions, or third-party outages;

  • message delivery and automation performance may depend on external networks and third-party systems beyond our control; and

  • support response times may vary depending on the nature of the issue, your plan, and operational capacity.


We may perform maintenance or updates that temporarily affect availability.


18. Suspension and Termination


We may suspend, restrict, or terminate your access to all or part of the Services, with or without prior notice, if:


  • you breach these Terms;

  • your use creates legal, regulatory, technical, reputational, or security risk;

  • payment is overdue or disputed;

  • required third-party approvals are revoked or denied;

  • we receive a complaint, legal request, or platform restriction related to your use;

  • we reasonably suspect fraud, abuse, spam, unauthorized messaging, or unlawful activity; or

  • continued service is no longer commercially, legally, or technically feasible.


You may stop using the Services at any time, and you may request account closure subject to pending dues, legal retention obligations, and technical limitations.


Upon termination:


  • your right to use the Services immediately ends;

  • we may deactivate or delete your Account and related data after a reasonable retention period;

  • any outstanding payment obligations remain payable; and

  • provisions that by nature should survive termination shall continue to apply, including payment, intellectual property, indemnity, limitation of liability, disclaimer, governing law, and dispute provisions.


19. Confidentiality


Each party may receive confidential or non-public information from the other in connection with the Services.


You agree not to disclose our confidential information to any third party except as necessary for authorized use of the Services or as required by law. Likewise, we will use reasonable measures to protect your confidential information that is shared with us for service delivery purposes.


Confidential information does not include information that:


  • is publicly available without breach;

  • was already lawfully known to the receiving party;

  • is lawfully obtained from a third party without restriction; or

  • is independently developed without use of the other party’s confidential information.


20. Disclaimer of Warranties


To the fullest extent permitted by applicable law, the Website and Services are provided on an “as is,” “as available,” and “with all faults” basis.


We do not warrant that:


  • the Services will be uninterrupted, secure, or error-free;

  • messages will always be delivered, approved, or received;

  • any automation, campaign, or AI output will achieve business results;

  • the Services will meet all of your requirements;

  • the Services will remain compatible with every third-party platform; or

  • defects will always be corrected within any specific time.


We expressly disclaim all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and accuracy, except to the extent such disclaimer is not permitted by law.


21. Limitation of Liability


To the fullest extent permitted by applicable law, PathBot AI, Path Idea InfoTech, and our affiliates, officers, employees, agents, partners, and licensors shall not be liable for any:


  • indirect, incidental, special, consequential, exemplary, or punitive damages;

  • loss of profits, business, revenue, customers, goodwill, opportunity, or reputation;

  • loss, corruption, or inaccuracy of data;

  • service interruption, message failure, campaign failure, or third-party suspension; or

  • damages arising from your use of or inability to use the Services.


Our aggregate liability for any claim arising out of or relating to the Services or these Terms shall not exceed the total amount actually paid by you to us for the Services during the 12 months immediately preceding the event giving rise to the claim.


Nothing in these Terms excludes liability that cannot lawfully be excluded under applicable law.


22. Indemnity


You agree to defend, indemnify, and hold harmless PathBot AI, Path Idea InfoTech, and our affiliates, officers, employees, representatives, and service providers from and against any claims, losses, liabilities, damages, penalties, costs, and expenses (including reasonable legal fees) arising out of or relating to:


  • your use or misuse of the Services;

  • your User Content;

  • your breach of these Terms;

  • your violation of any law, regulation, or third-party right;

  • your communications, campaigns, automations, or message content; or

  • any dispute between you and your customers, leads, employees, contractors, or end users.


23. Governing Law and Jurisdiction


These Terms shall be governed by and construed in accordance with the laws of India.


Subject to applicable law, the courts located in Raipur, Chhattisgarh, India shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services.


We may, however, seek interim, injunctive, or equitable relief before any court of competent jurisdiction where necessary to protect our rights, data, systems, or intellectual property.


24. Notices and Electronic Communication


You agree to receive notices, disclosures, invoices, updates, and service-related communications from us electronically, including by email, dashboard notification, WhatsApp message, or website posting.

25. Changes to These Terms

Updated Terms will become effective when posted on the Website or on the effective date mentioned in the revised version. Your continued use of the Services after the updated Terms become effective will constitute your acceptance of the revised Terms.


If you do not agree to the revised Terms, you must stop using the Services.


26. Force Majeure


We shall not be liable for any delay, interruption, or failure to perform caused by events beyond our reasonable control, including acts of God, natural disasters, government actions, war, civil unrest, telecom failures, cyberattacks, internet outages, labor disruptions, pandemic-related disruptions, hosting failures, or third-party platform outages.

28. Waiver

We may assign or transfer our rights and obligations under these Terms to an affiliate, successor, purchaser, or in connection with a merger, restructuring, or sale of business assets.


30. Entire Agreement


These Terms, together with our Privacy Policy and any applicable order form, invoice, proposal, plan details, or additional written agreement accepted by you, constitute the entire agreement between you and PathBot AI regarding the Services and supersede all prior discussions, understandings, or agreements relating to the same subject matter.
